Terms of Service

1. Eligibility

You must be at least 18 years old and legally able to enter into contracts to use the Service. By using TORQ, you represent that you meet these requirements.

2. Account Registration

• You must provide accurate and complete information when creating your account
• You are responsible for maintaining the confidentiality of your login credentials
• You are responsible for all activity that occurs under your account
• You must notify us immediately of any unauthorized use of your account

3. Subscription Plans

Free Trial

• New accounts receive a 7-day free trial with full access to TORQ Pro features
• No payment information is required to start a trial
• At the end of the trial, you must subscribe to continue using Pro features

TORQ Pro Subscription

• Monthly Plan: $49.99/month, billed monthly, cancel anytime
• Yearly Plan: $499.00/year (save 17%), billed annually, cancel anytime
• Lifetime Plan: One-time purchase, permanent access

Billing

• Subscriptions purchased through the App Store are billed by Apple and subject to Apple's terms
• Subscriptions purchased through Google Play are billed by Google and subject to Google's terms
• Subscriptions purchased on our website are billed by Stripe
• All prices are in US Dollars unless otherwise stated

Auto-Renewal

• Monthly and yearly subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period
• You can manage or cancel your subscription through your device's subscription settings or through the app

Refunds

• Refund requests for App Store purchases must be directed to Apple
• Refund requests for Google Play purchases must be directed to Google
• Refund requests for web purchases should be directed to support@torq.tools

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service's infrastructure
• Upload malicious code, viruses, or harmful content
• Scrape, data mine, or automatically collect data from the Service
• Impersonate another person or entity
• Use the Service to send spam or unsolicited communications
• Sublicense, resell, or redistribute the Service

5. Your Data

• You retain ownership of all data you enter into the Service
• You grant us a limited license to host, store, process, and display your data solely to provide the Service
• You are responsible for the accuracy of data you enter, including client information, pricing, and tax rates
• We are not responsible for errors in estimates, invoices, or financial calculations resulting from incorrect data entry

6. Invoicing & Payments

• TORQ provides tools to create estimates, invoices, and payment links
• We are not a payment processor — Stripe handles payment processing
• We do not guarantee payment collection from your clients
• You are solely responsible for your tax obligations
• Financial reports and profit calculations are for informational purposes and should not be considered tax or legal advice

7. QuickBooks Integration

• If you connect QuickBooks, you authorize TORQ to read and write data to your QuickBooks account as configured
• We are not responsible for data synchronization errors between TORQ and QuickBooks
• Disconnecting QuickBooks does not delete previously synced data from either platform

8. Intellectual Property

• The Service, including its design, code, features, and branding, is owned by TORQ and protected by intellectual property laws
• You may not copy, modify, distribute, or create derivative works of the Service
• "TORQ" and the TORQ logo are our trademarks

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TORQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless TORQ, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Account Termination

• You may delete your account at any time from Settings → Account → Delete Account
• We may suspend or terminate your account for violation of these Terms
• Upon termination, your right to use the Service ceases immediately
• Deletion of your account permanently removes all associated data

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

14. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes through the app or by email. Continued use of the Service after changes constitutes acceptance of the updated Terms.
